Global Ticketing Terms.
These Global Ticketing Services Terms and Conditions govern the use of the Banana Cards platform for ticketing, event registration, payment collection, event access, exhibitor payment, and related platform services by non-Vietnamese event organisers, exhibitors, sellers, and business users. For organisers located outside Vietnam, the Banana Cards platform is operated by Six Studio Creative FZCO (UAE).

Section 01
Parties
The ticketing services for non-Vietnamese organisers are provided by Six Studio Creative FZCO, a UAE company acting as the developer, operator, and manager of the Banana Cards platform for global operations outside Vietnam.
The “Organiser” means the individual, company, organisation, exhibitor, venue, promoter, seller, or authorised representative creating, managing, selling, or receiving revenue from an event through the Banana Cards platform.
Visitors, attendees, exhibitors, sponsors, corporate buyers, or other persons purchasing tickets or making payments through the platform are referred to as “Customers”, “Ticket Buyers”, or “Exhibitors”.
Where an event is created by or for a Vietnamese organiser, separate Vietnam-specific terms may apply.
Section 02
Legal and Regulatory Framework
Use of Banana Cards for global ticketing may be subject to applicable laws in the UAE, the country where the Organiser is established, the country where the event takes place, and the country where the Customer or Exhibitor is located, including where applicable:
- UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and its implementing regulations
- UAE Executive Regulations relating to VAT, including export of services and zero-rating
- UAE Federal Decree-Law No. 47 of 2022 on Corporate Tax
- UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services
- UAE laws on e-commerce, electronic records, consumer protection, payment processing, and data protection
- Local tax, invoicing, consumer protection, event, exhibition, payment, and data protection laws in the Organiser's country and event location
- Payment gateway, bank, card network, wallet provider, and anti-fraud rules
The Organiser is responsible for ensuring its event, ticket sale, exhibitor sale, promotional content, refund policy, invoice handling, customer communication, tax treatment, and local compliance obligations comply with all applicable laws.
Six Studio provides a technology and ticketing platform and does not provide legal, accounting, tax, or regulatory advice.
Section 03
Scope of Banana Cards Ticketing Services
Banana Cards may provide technology and operational support for:
- Creating and publishing event ticket pages
- Selling free or paid tickets
- Collecting visitor, attendee, exhibitor, sponsor, or buyer registration details
- Issuing digital tickets, QR codes, confirmations, and access credentials
- Collecting online payments on behalf of the Organiser
- Collecting online exhibitor payments on behalf of the Organiser
- Managing checkout summaries, ticketing fees, exhibitor fees, and payment records
- Supporting check-in, attendee lists, exhibitor lists, and ticket validation
- Facilitating refunds, cancellations, disputes, failed payment handling, and chargeback handling
- Providing reporting, analytics, reconciliation, and payout summaries
Unless expressly agreed otherwise in writing, Six Studio acts as a ticketing technology provider, payment collection facilitator, and platform service provider. Six Studio is not the legal organiser, owner, promoter, sponsor, venue operator, or provider of the event.
Section 04
Organiser Responsibilities
The Organiser is responsible for:
- Ensuring all event information is accurate, complete, lawful, and not misleading
- Setting correct ticket types, prices, exhibitor fees, capacities, dates, refund rules, and attendance conditions
- Obtaining all permits, licences, venue permissions, performance rights, and regulatory approvals
- Complying with all applicable laws on events, advertising, taxation, consumer protection, e-commerce, data protection, health & safety, and payments
- Delivering the event as advertised
- Responding to Customer and Exhibitor enquiries
- Handling event-specific complaints, claims, cancellations, postponements, refunds, and access disputes
- Issuing tax, VAT, GST, or sales invoices for ticket, exhibitor, booth, sponsorship, or other event amounts owned by the Organiser
- Ensuring exhibitors, sponsors, vendors, speakers, performers, and partners comply with applicable requirements
The Organiser represents and warrants that it has full authority to create the event, sell tickets, collect exhibitor payments, receive revenue, and provide access to the event.
Section 05
Ticket Revenue and Banana Cards Fees
Ticket revenue and Banana Cards ticketing fees are two separate charges. The Organiser owns the commercial value of the ticket revenue, excluding Banana Cards' ticketing fees and any permitted deductions. Six Studio owns the ticketing fees, booking fees, platform fees, infrastructure fees, exhibitor service fees, and other service fees.
At checkout, Banana Cards will summarise:
- The ticket price or event fee payable to the Organiser
- Banana Cards' ticketing fee
- Any exhibitor service fee or infrastructure fee
- Applicable taxes included in or added to each amount
- The total amount payable by the Customer or Exhibitor
Each party is responsible for its own tax reporting, accounting, and compliance obligations.
Section 06
Standard Ticketing Fee
Unless otherwise agreed in writing, the standard Banana Cards ticketing fee for paid tickets is:
7.8% of the ticket price plus USD 0.90 per ticket, or AED 3.30 per ticket.
The fixed ticketing fee component of USD 0.90 / AED 3.30 is fixed globally and is not dynamically adjusted by event currency, unless otherwise agreed in writing or required for technical settlement purposes by the payment processor.
Where an event is priced in a currency other than USD or AED, Banana Cards may display or collect the equivalent amount in the transaction currency using its payment processor's exchange rate, platform exchange rate, or another reasonable commercial exchange rate at the time of calculation, checkout, or settlement.
This standard ticketing fee includes standard payment gateway fees charged to Six Studio for processing the ticket payment, unless expressly stated otherwise.
For UAE Organisers, Banana Cards ticketing fees are VAT-exclusive. Where UAE VAT applies, VAT will be charged in addition to the ticketing fee at the applicable UAE VAT rate.
For non-UAE Organisers, the VAT or tax treatment of Banana Cards ticketing fees will depend on the applicable UAE VAT rules, export-of-service rules, local tax rules, and the information provided by the Organiser.
No Banana Cards ticketing fee is charged for free events or free tickets.
The standard ticketing fee applies to each paid ticket, registration, visitor pass, attendee pass, access pass, conference ticket, workshop ticket, or other paid ticketed item sold through the Banana Cards platform, unless a different fee is agreed in writing.
Section 07
How Ticketing Fees Are Charged
7.1 Ticketing Fee Added at Checkout
The fee is added on top of the ticket price and paid by the Customer at checkout. The ticket price belongs to the Organiser; the ticketing fee belongs to Six Studio.
7.2 Ticketing Fee Included in Ticket Price
The fee is included within the displayed ticket price and deducted from the ticket revenue collected. The remaining ticket revenue belongs to the Organiser.
The Organiser is responsible for selecting the correct fee model before publishing the event. Once ticket sales have started, Banana Cards may restrict changes to avoid confusion and accounting issues.
Section 08
Exhibitor Payments and Exhibitor Fees
Where an event includes exhibitors, vendors, sponsors, booth holders, or other commercial participants who pay through the Banana Cards platform, the following exhibitor fee terms apply unless otherwise agreed in writing.
8.1 Online Exhibitor Payments
If Exhibitors pay online through the Banana Cards platform, Banana Cards charges a flat exhibitor service fee of:
5.6% of the exhibitor payment amount.
This fee covers the platform infrastructure and standard payment processing costs associated with collecting the online exhibitor payment.
For UAE Organisers, the exhibitor service fee is VAT-exclusive. Where UAE VAT applies, VAT will be charged in addition to the exhibitor service fee at the applicable UAE VAT rate.
The exhibitor payment amount, excluding Banana Cards' exhibitor service fee, any applicable VAT on Banana Cards' fees, and any permitted deductions, belongs to the Organiser.
8.2 Exhibitor Payment Payout Schedule
For eligible online exhibitor payments, Banana Cards will release the Organiser's exhibitor revenue as follows:
- 50% of eligible exhibitor revenue will be paid to the Organiser two weeks before the event begins;
- the remaining 50% of eligible exhibitor revenue will be paid to the Organiser three working days after the event ends, subject to deductions for refunds, chargebacks, payment returns, disputes, gateway deductions, fraud, cancellation-related liabilities, currency conversion costs, unpaid Banana Cards fees, applicable VAT on Banana Cards fees, or other permitted deductions.
Eligible exhibitor revenue means the exhibitor payment amount collected for the Organiser, excluding Banana Cards' exhibitor service fee, any applicable VAT on Banana Cards fees, and after deducting or reserving any applicable refunds, chargebacks, payment returns, payment gateway deductions, disputes, taxes, currency conversion costs, or other permitted deductions.
8.3 Bank Transfer Exhibitor Payments
If the Organiser chooses to charge Exhibitors by bank transfer outside the Banana Cards online payment flow, Banana Cards may charge an infrastructure fee of:
2.3% of the total exhibitor fee managed, recorded, invoiced, or administered through the Banana Cards platform.
For UAE Organisers, the bank transfer exhibitor infrastructure fee is VAT-exclusive. Where UAE VAT applies, VAT will be charged in addition to the infrastructure fee at the applicable UAE VAT rate.
This infrastructure fee applies where Banana Cards provides event infrastructure, registration, exhibitor management, database, access control, reporting, operational support, invoice coordination, dashboard infrastructure, or related administrative functionality in connection with the exhibitor payment, even if the payment itself is made by bank transfer directly to the Organiser.
The infrastructure fee becomes chargeable when the relevant exhibitor payment is marked as confirmed, paid, approved, allocated, invoiced, or otherwise recorded as payable through the Banana Cards platform.
Banana Cards may recover the infrastructure fee and any applicable VAT on that fee by deducting it from any ticket revenue, exhibitor revenue, payout balance, reserve balance, or other amount payable by Banana Cards to the Organiser.
If the event is free for visitors, if visitor ticket sales are not processed through Banana Cards, or if the available ticket revenue, exhibitor revenue, payout balance, or reserve balance is insufficient to cover the infrastructure fee and any applicable VAT in full, Banana Cards may issue an invoice to the Organiser for the unpaid balance.
The Organiser must pay any such invoice within seven calendar days from the invoice date, or seven calendar days before the event start date, whichever occurs earlier, unless otherwise agreed in writing.
Banana Cards reserves the right to suspend, restrict, or interrupt the ticketing function, exhibitor management function, event publishing, payout releases, invoice coordination, access control, check-in support, or any related platform services if the infrastructure fee, applicable VAT, or any related invoice remains unpaid.
The Organiser remains responsible for collecting, reconciling, accounting for, and issuing any required invoices in relation to bank transfer exhibitor payments, unless otherwise agreed in writing.
For clarity, bank transfer exhibitor payments collected directly by the Organiser are not collected by Banana Cards. Banana Cards' infrastructure fee is charged for the use of the Banana Cards platform, infrastructure, management tools, exhibitor administration, and related support services.
Section 09
Free Events
No Banana Cards ticketing fee is charged for free events, free tickets, or free registration entries.
Reasonable fees may apply for paid add-ons such as custom development, premium infrastructure, marketing support, onsite check-in support, or managed services. Such fees must be agreed separately.
Section 10
UAE VAT, Local Taxes, Receipts, and Invoices
10.1 UAE VAT on Banana Cards Platform Fees
Six Studio is incorporated in the UAE. Banana Cards platform fees, ticketing fees, exhibitor service fees, infrastructure fees, and other service fees charged by Six Studio may be subject to UAE VAT where applicable.
For UAE Organisers, Banana Cards platform fees are VAT-exclusive unless expressly stated otherwise. Where UAE VAT applies, VAT will be charged in addition to Banana Cards' platform fees at the applicable UAE VAT rate.
Where the Organiser is established in the UAE, or where the supply is treated as made in the UAE for UAE VAT purposes, Six Studio may charge UAE VAT on Banana Cards platform fees.
Where the Organiser is established outside the UAE and the relevant conditions for zero-rating the export of services are met, Six Studio may apply 0% UAE VAT to its platform fees, subject to applicable UAE VAT rules and documentary requirements.
The parties acknowledge that the VAT treatment may depend on factors including:
- the country of establishment of the Organiser;
- whether the Organiser has a UAE place of residence, branch, or fixed establishment;
- whether the event is held in the UAE or outside the UAE;
- whether the service is received or used in the UAE;
- whether the service is connected with UAE real estate, UAE movable assets, or another special place-of-supply rule;
- whether the transaction qualifies for zero-rating as an export of services;
- the documentary evidence available to support the VAT treatment.
10.2 UAE Organisers
If the Organiser is established in the UAE, or if the Organiser has a UAE place of residence, branch, establishment, or other presence that is treated as receiving the service in the UAE, Six Studio may charge UAE VAT on Banana Cards platform fees.
For UAE Organisers, the following Banana Cards fees are VAT-exclusive unless expressly stated otherwise:
- ticketing fees;
- exhibitor service fees;
- bank transfer exhibitor infrastructure fees;
- platform fees;
- premium service fees;
- managed service fees;
- custom development or support fees;
- any other Banana Cards service fees.
The Organiser is responsible for providing accurate UAE tax registration details, trade licence information, registered address, and any other information required for VAT invoicing and compliance.
If the Organiser is VAT-registered in the UAE, the Organiser is responsible for assessing whether it may recover input VAT in accordance with applicable UAE VAT rules.
10.3 Non-UAE Organisers
If the Organiser is established outside the UAE and has no UAE establishment involved in receiving the Banana Cards service, Six Studio may treat the Banana Cards service fee as an exported service and apply 0% UAE VAT where the conditions under UAE VAT law are satisfied.
Six Studio may request evidence to support this treatment, including:
- company registration documents;
- tax registration documents;
- registered address;
- billing address;
- confirmation that the Organiser has no UAE establishment receiving the service;
- evidence that the service is not directly connected with UAE real estate or UAE movable assets where such connection would affect the VAT treatment;
- any other information reasonably required for tax compliance.
If adequate information is not provided, Six Studio may charge UAE VAT or delay payout, invoicing, or settlement until the matter is clarified.
10.4 Local Event Taxes and Organiser Tax Responsibility
The tax treatment of event tickets may be different from the tax treatment of Banana Cards platform fees.
The Organiser is solely responsible for determining, collecting, reporting, and remitting any VAT, GST, sales tax, withholding tax, local entertainment tax, ticket tax, tourism tax, municipality fee, or similar tax applicable to the ticket revenue, exhibitor revenue, sponsorship revenue, booth revenue, or event-related revenue in the relevant jurisdiction.
Six Studio does not assume responsibility for the Organiser's local tax obligations unless expressly agreed in writing.
10.5 Combined Customer Receipt
Banana Cards may provide Customers with one combined checkout receipt or payment confirmation showing:
- the ticket amount or event amount payable to the Organiser;
- Banana Cards' ticketing fee;
- any applicable exhibitor or service fee;
- applicable VAT, GST, or other tax information where available;
- the total amount paid;
- payment status and transaction reference;
- other relevant checkout information.
A combined receipt or payment confirmation is not necessarily a tax invoice unless expressly stated as such and issued in accordance with applicable tax invoice rules.
10.6 Separate Tax Invoices
Where requested by a Customer, Ticket Buyer, Exhibitor, or corporate buyer, and where required by applicable law, separate invoices may be issued as follows:
- the Organiser issues a tax invoice, VAT invoice, GST invoice, sales invoice, receipt, or other legally required document for the ticket revenue, exhibitor fee, booth fee, sponsorship fee, or other event amount owned by the Organiser;
- Six Studio issues an invoice for Banana Cards' ticketing fee, exhibitor service fee, infrastructure fee, or platform service fee.
Each party is responsible for issuing invoices only for the amounts that belong to that party, unless otherwise required by law or expressly agreed in writing.
10.7 Organiser Invoice Not Required for Ticket Revenue Payouts
The parties acknowledge that ticket revenue collected through the Banana Cards platform belongs to the Organiser, subject to Banana Cards' fees, refunds, chargebacks, reserves, deductions, and other amounts permitted under these Terms.
Unless otherwise agreed in writing, Banana Cards acts as a ticketing platform and payment collection facilitator and does not purchase tickets, event access rights, exhibitor rights, or event inventory from the Organiser.
Accordingly, payouts of ticket revenue or exhibitor revenue from Banana Cards to the Organiser are treated as settlement of funds collected on behalf of the Organiser and do not require the Organiser to issue an invoice to Six Studio or Banana Cards for the payout amount.
Six Studio may require the Organiser to provide valid business registration, tax registration, bank account details, invoice information, payout information, and any documentation reasonably required for tax, accounting, anti-fraud, payment, sanctions, anti-money laundering, or compliance purposes.
Banana Cards may issue payout statements, settlement reports, transaction reports, and fee invoices to support reconciliation.
The Organiser remains responsible for issuing any required tax invoices, VAT invoices, GST invoices, receipts, or other legally required documents to Customers, Exhibitors, or buyers in respect of ticket revenue, exhibitor revenue, booth fees, sponsorship fees, or other event amounts owned by the Organiser, unless otherwise agreed in writing.
10.8 Organiser Tax Information
The Organiser must provide accurate legal name, tax number, VAT/GST registration number where applicable, registered address, bank account details, invoice information, business registration information, and other information required for payout, tax, reconciliation, and invoice compliance.
Banana Cards may delay payouts if required tax, invoice, business registration, bank account, or verification information has not been provided.
Section 11
Payment Collection and Escrow-Like Holding
Banana Cards may collect ticket and exhibitor payments on behalf of the Organiser. Funds may be held in a protected settlement balance, reserve balance, or escrow-like arrangement until released in accordance with these Terms.
Funds may be temporarily withheld to manage operational, refund, chargeback, payment return, tax, fraud, compliance, event-delivery, and payment gateway risks. The Organiser is not entitled to immediate payout unless expressly agreed in writing.
“Escrow-like” does not mean Six Studio operates as a licensed escrow provider, bank, payment institution, financial institution, or trustee unless expressly stated in a separate written agreement.
Section 12
Ticket Revenue Payout Schedule
12.1 First Ticket Revenue Payout
Within three working days after the event has ended, Banana Cards will release 90% of net eligible ticket revenue to the Organiser.
Net eligible ticket revenue means ticket revenue collected for the Organiser after deducting or reserving, where applicable:
- Banana Cards ticketing fees;
- applicable VAT on Banana Cards fees;
- refunds already processed;
- confirmed chargebacks;
- pending chargeback exposure;
- payment return fees;
- gateway deductions;
- suspected fraud or disputed payments;
- withholding or tax amounts required by law;
- amounts required to resolve Customer complaints;
- cancellation-related deductions;
- currency conversion fees or settlement costs;
- unpaid infrastructure fees or unpaid invoices owed to Six Studio;
- any other deduction permitted under these Terms.
12.2 Ticket Revenue Reserve
Banana Cards will hold back 10% of net eligible ticket revenue for 60 days after the event to cover chargebacks, disputes, payment returns, refund claims, duplicate payment claims, fraud investigations, non-delivery complaints, invoice/tax issues, foreign exchange adjustments, and other liabilities.
12.3 Final Payout
After 60 days from the event date, Banana Cards will release the remaining reserve, minus any chargebacks, refunds, payment return fees, gateway deductions, bank or card network charges, unresolved disputes, currency conversion costs, and outstanding amounts owed to Six Studio. If the reserve is insufficient, the Organiser must reimburse Six Studio for the shortfall upon request.
Section 13
Refunds, Cancellations, and Postponements
The Organiser is responsible for setting and publishing its refund policy and remains financially responsible for refunds, cancellations, postponements, event failures, material changes, or non-delivery, except where caused solely by Banana Cards' proven technical error.
13.1 Refund of Ticketing Fees on Organiser Cancellation
If the Organiser cancels the event, ticketing fees may be refunded to Customers. The Organiser remains liable for payment gateway costs, payment return fees, chargeback fees, handling fees, administrative costs, and currency conversion losses. Banana Cards may deduct such costs from unpaid revenue, reserves, future payouts, or any other amount owed.
13.2 Postponement or Material Change
The Organiser must promptly notify Banana Cards and affected Customers of any postponement or material change. Banana Cards may require refunds to be offered and may suspend payouts until risks are resolved.
Section 14
Chargebacks, Payment Returns, and Disputes
The Organiser is responsible for chargebacks, payment returns, failed payment reversals, and payment disputes related to the event, ticket, access, cancellation, postponement, non-delivery, material changes, misleading event information, or refund disputes.
Banana Cards may deduct chargeback amounts, return fees, gateway fees, dispute fees, bank fees, currency conversion costs, and handling fees from unpaid ticket funds, unpaid exhibitor funds, the 10% reserve, exhibitor reserves, future payouts, or any other amount owed.
The Organiser must provide evidence reasonably requested — ticket confirmation, check-in records, proof of event delivery, Customer communications, refund policy, event terms, and invoice/payment records — within the required timeframe.
Section 15
Event Approval, Suspension, and Removal
Banana Cards may review, reject, suspend, hide, unpublish, or remove an event where it reasonably believes the event is unlawful, misleading, unsafe, fraudulent, or high-risk; the Organiser lacks authority; the event violates these Terms; verification is missing; the event creates regulatory, tax, payment, chargeback, consumer protection, data protection, sanctions, AML, or fraud risk; the event involves prohibited activities; the Organiser has unpaid amounts; or the event may harm Customers, Exhibitors, visitors, partners, or Banana Cards.
Section 16
Prohibited Events and Activities
The Organiser must not use Banana Cards' ticketing services for events involving:
- Illegal goods or services
- Fraud, scams, pyramid schemes, or misleading investment opportunities
- Counterfeit products
- Unlicensed gambling, betting, or lottery activities
- Unlicensed financial services
- Weapons, explosives, or dangerous materials
- Illegal adult content or unlawful adult services
- Hate speech, extremist content, or discriminatory activities
- Events that violate public order, safety, morality, or applicable law
- Sanctioned persons, sanctioned jurisdictions, or restricted activities
- Any activity prohibited by payment gateways, card networks, banks, or Banana Cards' policies
Section 17
Customer Data and Privacy
The Organiser may receive Customer and Exhibitor information necessary for event management. The Organiser must use such data only for legitimate event-related purposes: ticket/exhibitor confirmation, event access, check-in, event updates, invoice support, customer support, and legally permitted follow-up.
The Organiser must not sell, misuse, disclose, or unlawfully market to Customers or Exhibitors using data collected through Banana Cards. The Organiser is responsible for obtaining any required consent and complying with applicable data protection and marketing laws.
Each party shall comply with its respective obligations under applicable UAE data protection laws, EU/UK GDPR, and other relevant privacy regulations.
Section 18
Electronic Records, Tickets, and Communications
Electronic records, digital tickets, QR codes, electronic receipts, electronic signatures, and platform logs may be used to evidence transactions, ticket ownership, event access, refund requests, and Customer instructions.
UAE law recognises electronic transactions and trust services under applicable legislation. The Organiser agrees that Banana Cards may communicate electronically by email, platform notification, or dashboard alert.
Section 19
Event Content and Intellectual Property
The Organiser grants Six Studio and Banana Cards permission to use event names, logos, images, banners, descriptions, speaker/sponsor/exhibitor names, venue details, and promotional materials for the purpose of providing, displaying, promoting, operating, and supporting the ticketing services.
The Organiser confirms it owns or has permission to use all content uploaded and is responsible for any claim arising from event content or intellectual property.
Section 20
Platform Availability
Banana Cards uses reasonable efforts to keep the platform available but does not guarantee uninterrupted, error-free, or always-available service. The platform may be unavailable due to maintenance, upgrades, internet outages, third-party failures, payment gateway issues, hosting issues, security incidents, or force majeure. Banana Cards is not responsible for losses from temporary downtime except as required by law.
Section 21
Payment Gateways and Third-Party Providers
Ticket and exhibitor payments may be processed through third-party payment gateways, banks, card networks, wallet providers, QR payment providers, or other financial service providers. The standard ticketing fee includes standard gateway fees; special, dispute-related, refund-related, payment return, chargeback, cross-border, or non-standard payment costs may be deducted separately. Banana Cards is not liable for delays, failed payments, gateway downtime, third-party deductions, or payment provider actions beyond its reasonable control.
Section 22
Reporting and Reconciliation
Banana Cards may provide reports showing tickets sold, exhibitor payments, gross sales, fees, refunds, chargebacks, payment returns, payouts, reserves, Customer and Exhibitor details, check-in data, currency conversion details, and tax breakdowns.
The Organiser must notify Banana Cards of any suspected error within seven days of receiving a payout report. Otherwise the report may be treated as accepted, except for manifest errors.
Section 23
Set-Off and Deductions
Banana Cards may deduct from amounts owed to the Organiser any amounts the Organiser owes to Six Studio, including unpaid ticketing fees, exhibitor service fees, infrastructure fees, refunds, chargebacks, payment return fees, gateway fees, tax adjustments, dispute costs, cancellation costs, handling fees, foreign exchange costs, overpayments, and breach-related penalties. Set-off may also be applied against future payouts.
Section 24
Event Cancellation by Organiser
If the Organiser cancels an event, the Organiser must immediately notify Banana Cards and all affected Customers and Exhibitors. Banana Cards may suspend sales, exhibitor payments, and payouts immediately. The Organiser remains responsible for all refunds, chargebacks, payment returns, claims, gateway costs, handling fees, and currency conversion costs. Banana Cards may continue to retain reserves until risks have reasonably expired.
Section 25
Liability
The Organiser is solely responsible for the event and for any claim arising from cancellation, postponement, failure to deliver, venue safety, crowd management, speaker/performer/vendor/sponsor/exhibitor conduct, misleading descriptions, refund disputes, chargebacks, tax or invoice failures, unauthorised sale of tickets or collection of exhibitor payments, and breach of law or these Terms.
To the maximum extent permitted by law, Six Studio is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages. Six Studio's total liability in connection with an event shall not exceed the platform fees actually received by Six Studio for that event, except where liability cannot be limited by law.
Section 26
Indemnity
The Organiser agrees to indemnify and hold harmless Six Studio, Banana Cards, their directors, employees, contractors, affiliates, partners, and service providers from any claim, loss, liability, cost, tax assessment, chargeback, payment return, penalty, damage, or expense arising from the event, ticket sales, exhibitor payments, Customer/Exhibitor claims, refunds, invoice or tax failures, unlawful or misleading event content, personal injury or property damage, breach of these Terms or applicable law, misuse of Customer or Exhibitor data, or claims by venues, sponsors, exhibitors, vendors, performers, speakers, or partners.
Section 27
Suspension and Termination
Banana Cards may suspend or terminate access if the Organiser breaches these Terms, provides false information, fails verification, has excessive refunds/disputes/chargebacks/returns, is reasonably suspected of fraud or unlawful activity, is missing required tax/invoice/business/bank information, fails to pay amounts owed, or where continued service creates legal, financial, payment, regulatory, tax, consumer protection, data protection, sanctions, AML, fraud, or reputational risk. Termination does not affect existing payment, refund, chargeback, tax, data, indemnity, or liability obligations.
Section 28
Changes to Fees and Terms
Six Studio may update these Terms or its fees from time to time. Fee changes will not apply retroactively to tickets or exhibitor payments already sold unless required by law, payment provider rules, or a separate written agreement. Continued use after updates take effect means the Organiser accepts the updated Terms.
Section 29
Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates and, where applicable, the laws and regulations of the Emirate and free zone in which Six Studio Creative FZCO is incorporated.
The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved, it shall be submitted to the competent courts or dispute resolution authority in the UAE, unless a separate written agreement specifies another method. Nothing prevents Six Studio from seeking urgent injunctive or interim relief in any competent jurisdiction.
